THE LAW PRACTICE
Our law firm, Martinelli Discenza, P.C., concentrates its practice in five areas:

Estate Planning, Estate Settlement and Family Asset Transfer Law. With a deep knowledge in taxation of trusts, estates and transfers of family assets (from one generation to succeeding generations or from a tax-qualified retirement plan to intended beneficiaries), Martinelli Discenza advises individuals and families on how to achieve their planning objectives while minimizing taxation. At the time of a client's demise, Martinelli Discenza, already familiar with a family's circumstances, is ready to assist in the details of settling the estate. As increasingly complex regulations are applied to transfers from and between tax-deferred compensation programs such as 401(k) plans, profit sharing plans and IRAs, Martinelli Discenza has cultivated the expertise to guide clients through the maze.

Business Law. With a firm grasp on technical requirements, an ear to the nuances of a business deal and the discipline of maintaining close communication with clients, Martinelli Discenza has guided business entities, large and small, new and mature, publicly-owned and closely-held, through the defining transactions which have created and preserved wealth for business owners. Whether it's a financing, a merger or acquisition, a sale of assets or a licensing transaction, we provide assistance in identifying critical issues and proposing the necessary framework for future growth and success.

Real Estate and Land Use Planning Martinelli Discenza has extensive experience in assisting clients in acquiring, financing, selling and leasing commercial and residential real estate. Our skills in the field of securities law enable us to advise clients concerning syndications and our municipal law experience provides a strong foundation for assisting developers and property owners through zoning and site plan approval processes and applications for special permits, subdivision approvals and conservation orders. We also help clients to anticipate and deal with the environmental issues which have become a major concern to owners and buyers of real estate.

Public Finance. Martinelli Discenza acts as advisers to municipal governments and agencies concerning public finance issues. Since 2004, we have acted as “bond counsel” for the City of Springfield, Massachusetts in connection with its issuances of over $225 million in municipal bonds.

Investment Management Law. In 1994, Gary Martinelli began publishing The Investment Adviser's Counsel, a quarterly newsletter concerning legal and regulatory matters affecting investment management professionals. Publication of the newsletter together with our experience in operating an affiliated investment management practice has led to the development of a national law practice advising other investment advisers and hedge fund managers.

INVESTMENT MANAGEMENT SERVICES
As an outgrowth of our partners' experience in securities law and investment management law, and in response to the needs of clients who transition from ownership of “business assets” to “financial assets,” and the requirements of other clients undergoing life transitions such as retirement, loss of a spouse, or divorce, we organized an investment management practice, Martinelli Discenza Investment Counsel, Inc., in 2000.

Portfolios we develop for clients are generally centered around a core of “no-load” mutual funds with a “deep value” bias. We identify managers who select securities trading at significant discounts to their "intrinsic value" and who pursue a discipline of selling as securities approach or reach their intrinsic value. We also reduce market risks by diversifying client holdings across multiple asset classes including not only traditional equities and fixed-income securities, but also including commodities, real estate and timber.

Our investment clients are typically individuals and their trusts or retirement plans. Customarily, client securities are held by Charles Schwab & Co., Inc. which acts as custodian and issues monthly statements and year-end tax statements. In addition, Martinelli Discenza furnishes a quarterly Portfolio Statement and Performance Summary with analysis and explanation concerning each client's account.
